1. Definitions
Client: Refers to any individual or organization engaging ACN DISCOUNTS to receive design, marketing, website development, or business support services.
ACN DISCOUNTS: Refers to the service provider offering creative, digital, and consulting solutions including web design, branding, and strategic business development.
Project: The specific scope of work agreed upon in a written proposal, contract, or service agreement between ACN DISCOUNTS and the Client.
Deliverables: Any materials, assets, designs, documents, or digital outputs created by ACN DISCOUNTS in connection with the Project.
2. Engagement of Services
2.1. The Client agrees to engage ACN DISCOUNTS to perform the services as outlined in the approved proposal or signed agreement.
2.2. ACN DISCOUNTS will carry out the agreed services with professionalism, reasonable care, and skill, striving to meet established timelines.
3. Payment Terms
3.1. Payment terms, pricing, and schedules are defined in the approved proposal or contract.
3.2. ACN DISCOUNTS may request an upfront deposit or milestone-based payments, depending on the project scope.
3.3. Any additional requests or changes in project scope will require a revised quotation and may involve a separate agreement.
4. Project Timeline
4.1. ACN DISCOUNTS will provide an estimated completion timeline for all services. However, timelines may change due to unforeseen circumstances or Client-related delays.
5. Revisions and Feedback
5.1. Clients are entitled to provide feedback and request revisions in accordance with the terms outlined in their agreement.
5.2. Revisions beyond the approved scope may result in additional charges or extended delivery time.
6. Ownership and Rights
6.1. Upon full payment, the Client will receive ownership of the final Deliverables. However, ACN DISCOUNTS retains ownership of all pre-existing materials, tools, and methodologies used during production.
6.2. ACN DISCOUNTS reserves the right to display non-confidential portions of the completed work in its portfolio, marketing materials, or online platforms unless otherwise requested in writing by the Client.
7. Confidentiality
7.1. Both ACN DISCOUNTS and the Client agree to maintain the confidentiality of all proprietary or sensitive information shared during the course of the project.
7.2. ACN DISCOUNTS will not disclose or share the Client’s private business data without prior written consent.
8. Termination
8.1. Either party may terminate the agreement with written notice. The Client is responsible for paying for all work completed up to the date of termination, including any applicable non-refundable fees.
8.2. Upon termination, ACN DISCOUNTS will provide the Client with all completed Deliverables to date, and remaining services will cease.
9. Liability
9.1. ACN DISCOUNTS is not responsible for any direct, indirect, or consequential losses resulting from the implementation or use of its Deliverables or recommendations.
9.2. The Client agrees to indemnify and hold ACN DISCOUNTS harmless against any claims, damages, or expenses arising from actions based on the services or Deliverables provided.
10. Governing Law
10.1. These Terms and Conditions are governed by the laws of the United States, and any disputes will be settled in a court of competent jurisdiction within the United States.
